Terms of Use

These terms govern your access to and use of the Content Dance website (www.contentdance.com) and CMS, DXP and AI content consulting services.

1. Introduction

Welcome to Content Dance. These Terms and Conditions (the "Terms") govern your access to and use of the Content Dance website (www.contentdance.com) and our consulting services for content management systems (CMS), digital experience platforms (DXP) and AI content solutions (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Content Dance is operated by Content Dance Ltd., a company registered in Shanghai, China (the "Company", "we" or "us").

2. Definitions

  • "Client" means any individual or entity that engages Content Dance to provide consulting services.
  • "User" means any individual who accesses or uses our website.
  • "Deliverables" means work products, documents, code, designs or other materials created by Content Dance during an engagement.
  • "Confidential Information" means any non-public information disclosed by either party during an engagement.

3. Services

Content Dance provides consulting services including, but not limited to:

  • Agentic AI implementation for content workflows and digital experiences
  • Content management system (CMS) strategy, architecture and implementation
  • Digital experience platform (DXP) design and integration
  • Content strategy and governance consulting
  • Platform modernisation and migration
  • Training and enablement

The specific scope, timelines and deliverables for each engagement are set out in a separate Statement of Work (SOW) or project agreement.

4. Engagement Terms

4.1 Proposals and Agreements

All consulting engagements require a signed Statement of Work (SOW) or project agreement specifying the scope, fees, payment terms, timelines and deliverables. These Terms apply to all engagements unless expressly modified by the SOW.

4.2 Client Responsibilities

Clients agree to provide the information, systems, personnel and decisions necessary to complete the project in a timely manner. Client-caused delays may result in adjustments to timelines and additional fees.

4.3 Change Management

Any changes to the scope of work must be documented in writing and agreed by both parties. Changes may affect timelines and fees.

5. Fees and Payment

Payment terms are specified in each project agreement. Unless otherwise agreed:

  • Invoices are payable within 30 days of receipt
  • Late payments may incur interest at 1.5% per month
  • Expenses incurred on behalf of the Client are charged at cost plus a 10% administration fee
  • All fees exclude applicable taxes

6. Intellectual Property

6.1 Pre-existing Intellectual Property

Each party retains its pre-existing intellectual property. Content Dance retains ownership of methodologies, frameworks, tools and proprietary knowledge that it independently develops or that existed before the project began.

6.2 Deliverables

Upon full payment of all fees, the Client obtains ownership of custom deliverables created specifically for the project, excluding Content Dance's pre-existing intellectual property and general-purpose tools.

6.3 Website Content

Unless otherwise stated, all content, trademarks, logos and intellectual property displayed on the website belong to Content Dance. You may not reproduce, distribute or create derivative works without our express written permission.

7. Confidentiality

Both parties agree to keep confidential any Confidential Information disclosed during the engagement. This obligation continues for three years after termination. Confidential Information does not include information that is publicly available, independently developed or legitimately obtained from a third party.

8. Warranties and Disclaimers

Content Dance warrants that services will be provided professionally in accordance with industry standards. Except as expressly agreed, all services are provided "as is", without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose or non-infringement.

We do not guarantee specific business results, returns on investment or outcomes from implementing our recommendations.

9. Limitation of Liability

To the maximum extent permitted by law, CONTENT DANCE shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities, whether or not we have been advised of the possibility of such damages.

Our total liability for any claim arising from an engagement shall not exceed the fees paid by the Client for that engagement during the twelve (12) months preceding the claim.

10. Termination

Either party may terminate an engagement by giving 30 days' written notice. Upon termination, the Client shall pay for all services provided and expenses incurred up to the termination date. Content Dance will deliver all completed deliverables upon receipt of the final payment.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Disputes arising from these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the Shanghai International Arbitration Center for arbitration under its arbitration rules.

12. General Provisions

  • Entire agreement: these Terms and any signed project agreement constitute the entire agreement between the parties.
  • Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver: failure to exercise a right does not constitute a waiver of that right.
  • Assignment: neither party may assign this agreement without the other party's written consent.
  • Force majeure: neither party is responsible for delays caused by circumstances beyond its reasonable control.

13. Changes to These Terms

We reserve the right to amend these Terms at any time. Changes take effect when published on the website. Continued use of the Services after a change constitutes acceptance of the amended Terms.
